This Vendor Agreement (the “Agreement”) is entered into between Sequence Events, LLC., located at 15 W 38th Street, 5th Fl, NY, NY 10018, hereinafter referred to as “Sequence,” and the vendor (hereinafter referred to as the “Vendor”):
- Indemnification and Hold Harmless: The Vendor agrees to indemnify and hold Sequence Events, LLC. and Sequence’s clients harmless from any claims, damages, liabilities, costs, or expenses arising out of or related to the Vendor’s services or products provided under this Agreement.
- Insurance Requirements: The Vendor shall maintain the following insurance coverage:
a. General Liability Insurance: The Vendor shall carry a minimum of $2,000,000 in general liability insurance coverage with a $4,000,000 aggregate limit.
b. Errors and Omissions Insurance: The Vendor shall carry a minimum of $2,000,000 in errors and omissions insurance coverage.
c. Workers’ Compensation Insurance: The Vendor shall carry a minimum of $1,000,000 in workers’ compensation insurance coverage.
d. Auto Insurance: The Vendor shall carry a minimum of $1,000,000 in auto insurance coverage. - Invoicing and Payment: The Vendor agrees to invoice Sequence within 30 days of the completion of work. Sequence shall not be responsible for paying any invoices received after the 30-day period.
- Performance Standards: The Vendor shall perform its obligations under this Agreement with due care, skill, and in a professional manner, consistent with industry standards.
- Confidentiality: The Vendor acknowledges that during the course of providing services to Sequence, it may have access to confidential and proprietary information. The Vendor agrees to maintain the confidentiality of such information and not disclose it to any third party without prior written consent from Sequence, except as required by law.
- Non-Disclosure of Event Materials: The Vendor agrees that any photos, videos, or descriptions of the event or any customized work product created for Sequence shall not be shared with any third party without the prior written approval of Sequence. The Vendor shall obtain written consent from Sequence before using any event-related materials for promotional purposes or any other purposes not directly related to the services provided under this Agreement.
- Data Privacy: The Vendor agrees to comply with all applicable data protection and privacy laws and regulations. The Vendor shall take appropriate measures to protect any personal data or sensitive information provided by Sequence or obtained during the performance of services.
- Ownership and Licensing: The Vendor acknowledges and agrees that all intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, patents, and any other proprietary rights, arising from the services or deliverables provided by the Vendor to Sequence shall be owned exclusively by Sequence. The Vendor grants Sequence a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, and distribute any materials or deliverables created or provided by the Vendor in connection with this Agreement.
- Anti-Bullying, Discrimination, and Harassment: The Vendor agrees to adhere to strict standards of professional conduct and to maintain a work environment free from bullying, discrimination, and harassment. The Vendor shall not engage in any conduct that may create a hostile or offensive work environment based on race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, or any other protected characteristic under applicable law. Any reports of bullying, discrimination, or harassment by the Vendor will be promptly investigated, and appropriate actions will be taken, up to and including termination of this Agreement.
- Binding Agreement: By reading this Agreement, the Vendor acknowledges and agrees to be bound by its terms and conditions. This Agreement shall become binding upon the Vendor once it has read the Agreement and commenced the provision of services to Sequence.
This Agreement constitutes the entire understanding between Sequence and the Vendor and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter herein. Any modifications to this Agreement must be in writing and signed by both parties.
